The Arab Republic of Egypt has received a grant from the African Development Bank toward the cost of the “Modernization of the Egyptian Central Bank Clearing and Settlement Depositary System for Government Securities Project” and intends to apply part of the agreed amount for this grant to payments under the contract for the “individual legal consultant”
In this regard, The Central Bank of Egypt is seeking individual legal consultant (“the Consultant”) to start the process of establishing a Central Government Securities Depository company (“CSD”) in order to provide central depository, registry and settlement of treasury bills and bonds within the framework of forthcoming legislation amending both the banking and central securities deposits laws (“Project”).
The objective of the assignment is to provide (i) legal and regulatory advisory support, (ii) corporate structuring advice, (iii) drafting and negotiation of shareholders agreements, (iv) legal implementation of the CSD company, (v) drafting of the CSD company internal bylaws, (vi) assisting with the technology agreements, (vii) advising and drafting various operational agreements, (viii) providing high-level training to the forthcoming management and staff of the CSD company, (ix) providing ongoing legal support to the CSD company going forward.
The Central Bank of Egypt now invites eligible individual legal consultant to indicate interest in providing these services. Interested consultant must provide information indicating that they are qualified to perform the services (brochures, description of similar assignments, experience in similar conditions).
Eligibility criteria, establishment of the short-list and the selection procedure shall be in accordance with the African Development Bank’s “Rules and Procedures for the use of Consultants” May 2008 and revised June 2012, which is available on the Bank’s website at http://www.afdb.org.
